1. Introduction

Welcome to Spotless, a digital platform that connects clients to service providers offering home services such as cleaning, gardening, plumbing, electrical work, laundry, waste removal, home maintenance, and other related services. These combined Terms and Conditions and Privacy Policy (collectively referred to as the "Agreement") govern your access and use of the Spotless mobile application, website, services, products, and any associated features. By using Spotless, you agree to abide by all the rules, responsibilities, and restrictions described herein.

This Agreement applies to all users, including clients seeking services, providers offering services, and any visitor accessing the platform. Please read carefully. If you do not agree, you must discontinue use immediately.


2. Definitions

For clarity and consistency, the following terms shall have the meanings assigned below:

"Spotless" refers to the digital marketplace platform owned and operated by Spotless Technologies Limited or its affiliated entities.

"Client" refers to any user who requests, books, or pays for services through the platform.

"Service Provider" or "Provider" refers to any individual or business that offers services through the platform.

"Services" refers to all offerings available on the platform, including home cleaning, repair, maintenance, delivery, errands, and any other categories listed.

"Account" refers to the user profile created on Spotless for accessing platform features.

"Content" refers to text, photos, videos, feedback, listings, and other information posted on the platform.

"Personal Data" means any identifiable information collected from platform users.


3. Eligibility and Account Registration

To use Spotless, you must:

  • Be at least 18 years old.
  • Have legal capacity to enter into binding agreements.
  • Provide accurate, updated information during registration.
  • Maintain the confidentiality of your login credentials.

You agree that you are responsible for all activities conducted through your account. Spotless reserves the right to suspend or terminate accounts if fraudulent, misleading, or harmful behavior is detected.


4. Nature of the Platform

Spotless is a marketplace that facilitates connections between clients and service providers. Spotless does not directly offer home services, employ providers, or supervise their work. Instead, Spotless provides the following:

  • A digital platform for service discovery.
  • Tools for scheduling and payment.
  • A rating and review system.
  • Dispute resolution assistance.

Clients acknowledge that Spotless is not responsible for the conduct, skill level, or quality of services rendered by providers. Providers acknowledge that Spotless is not liable for client behavior or non-payment beyond the protections described herein.


5. Service Provider Obligations

Providers on the Spotless platform agree to the following responsibilities:

  • Deliver services professionally and in accordance with listed descriptions.
  • Maintain proper tools, equipment, and permits required for their trade.
  • Uphold hygiene, safety, and ethical standards.
  • Avoid fraudulent or misleading claims.
  • Only accept jobs they can complete.
  • Communicate promptly with clients.
  • Avoid discriminatory, abusive, or threatening behavior.

Spotless reserves the right to remove providers for poor performance, repeated customer complaints, fraud, or misconduct.


6. Client Obligations

Clients must:

  • Provide accurate details about the service request.
  • Ensure safe access to their premises.
  • Treat providers respectfully.
  • Avoid fraudulent chargebacks or false claims.
  • Pay the full cost of completed services.

Clients also acknowledge that Spotless is not responsible for property damage, loss, or injury caused by providers unless covered under verified insurance arrangements.


7. Payment Terms

Spotless facilitates payments between clients and providers. Payments may be made via mobile money, bank cards, wallet balance, or other methods integrated into the platform.

Spotless fees:

  • Service providers are charged a commission on every booking.
  • Clients may be charged platform fees.
  • VAT or other statutory taxes may apply.

Spotless may hold payments temporarily (escrow-style) for the purpose of dispute resolution, refund processing, or settlement periods. Spotless is not a bank or financial institution and only acts as a collection agent for providers.


8. Cancellations and Refunds

Cancellation terms may differ depending on the timing and circumstances:

  • Client cancellations after a provider has commenced travel may attract a cancellation fee.
  • Provider cancellations may lead to penalties or account restrictions.
  • Refunds are issued if services are not delivered, partially delivered, or delivered in unsatisfactory conditions following investigation.

Spotless reserves the right to adjust refund amounts based on evidence, customer history, and risk assessments.


9. Ratings and Reviews

Users may post ratings, comments, or reviews after service completion. You agree that:

  • Reviews must be honest, factual, and respectful.
  • Spotless may remove defamatory, offensive, or misleading reviews.
  • Spotless may use user reviews for marketing or internal quality monitoring.

Users are prohibited from posting reviews that contain hate speech, violence, unlawful statements, or privacy violations.


10. Prohibited Activities

Users may not:

  • Use the platform for illegal services.
  • Circumvent the platform by contacting providers directly to avoid fees.
  • Upload harmful, defamatory, or explicit content.
  • Misuse personal data of other users.
  • Engage in fraud, harassment, spamming, or security breaches.

Violations may result in account termination, legal action, or reporting to authorities.


11. Intellectual Property

Spotless owns all rights to its platform, including logos, trademarks, content, software, and designs. Users may not:

  • Use the Spotless brand without permission.

  • Losses resulting from service delays, cancellations, or poor-quality work.
  • Theft, injury, or property damage caused by users of the platform.

Spotless' total liability, in any case, is limited to the total amount paid to the platform in the preceding six months.


13. Indemnification

Users agree to indemnify Spotless against all claims arising from:

  • Their misuse of the platform.
  • Their violation of these terms.
  • Their interactions with other users.
  • Any damages, legal actions, or claims made by third parties.

  • Spotless’ decision may be final in certain cases.

Legal disputes involving Spotless will be handled under the jurisdiction described in Section 28.


27. Disclaimer

The platform is provided "as is" and "as available" without warranties of any kind, express or implied. Spotless does not guarantee:

  • Service availability at all times.
  • Accuracy of listings.
  • Performance or behavior of providers and clients.
  • Freedom from disruptions, bugs, or errors.

Users assume all risks from platform usage.


28. Governing Law

These Terms and the Privacy Policy are governed by the laws applicable within the country of operation, without regard to conflict of law principles. Any legal claims must be brought before the designated courts in that jurisdiction.

30. Acceptance of Terms

Where insurance is unavailable or declined, users acknowledge that they proceed at their own risk and must rely on independent arrangements.

Spotless maintains quality benchmarks that providers are expected to uphold. These include timeliness, professionalism, accuracy of listed skills, and completion of work as described. Repeated violations may result in lowered ratings, temporary suspension, or permanent removal from the platform.

Clients are encouraged to submit feedback promptly to maintain platform integrity.


33. Safety Protocols

For the protection of all users, Spotless implements the following safety guidelines:

  • Optional verification for clients.
  • Monitoring of suspicious booking patterns.
  • Restrictions on communication until a booking is confirmed.

Spotless may suspend any user if safety concerns arise.


34. Geolocation and Mapping Services

  • Estimate provider travel times.
  • Suggest nearby providers.
  • Verify service completion.

Users may disable location services, but this may limit platform functionality.


35. Wallet and Credits

Spotless may offer a digital wallet for holding balances, refunds, credits, and promotional bonuses. Wallet balances cannot be withdrawn as cash unless stated otherwise and may be restricted to service payments only.

Promotional credits may carry expiry dates and cannot be exchanged for cash.


36. Promotions and Referral Programs

Spotless may run referral, discount, or promotional programs from time to time. Participation is voluntary and subject to the rules stated in each campaign. Spotless may revoke bonuses earned through fraud, misuse, or manipulation of referral mechanics.


37. Data Breach Protocol

In the event of a data breach, Spotless will:

  • Assess the scope of the breach.
  • Notify affected users when legally required.
  • Cooperate with relevant authorities.
  • Implement corrective measures.

Spotless is not liable for breaches caused by third-party infrastructure outside its control.

Spotless maintains periodic backups to ensure data continuity. However, users acknowledge that backups are not guaranteed to capture real-time data, and Spotless is not liable for data lost between backup cycles.


39. Platform Updates and Feature Changes

Users agree that continued use of the platform after updates constitutes acceptance.


40. API and Third-Party Integrations

Users may report accessibility issues for improvement.


45. Force Majeure

Spotless is not liable for failure to perform obligations due to events beyond its control, including:

  • Network failures

46. Entire Agreement

This document constitutes the complete Agreement between Spotless and platform users, superseding all previous written or verbal agreements regarding platform use.


47. Severability

48. No Waiver

Failure by Spotless to enforce any right or provision does not constitute a waiver of that right or provision.
